1. Acceptance of Terms
These Terms of Use (“Terms”) govern your access to and use of [Application Name] (the “Service”), including any related websites, mobile apps, APIs, and services operated by [Company / Individual Name] (“we,” “us,” or “our”).
By creating an account, linking a brokerage, placing trades, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy (collectively, the “Agreement”). If you do not agree to these Terms, you must not use the Service.
No Investment Advice / No Broker-Dealer. We are not a broker-dealer, investment adviser, or financial planner. Nothing in the Service is, or should be taken as, personalized investment, tax, or legal advice, or a recommendation to buy, sell, or hold any security.
2. Eligibility
By using the Service, you represent and warrant that:
- You are at least [18] years old (or the age of majority in your jurisdiction), or you are using the Service with the consent and supervision of a parent or legal guardian who accepts these Terms on your behalf;
- You have full power and authority to enter into this Agreement; and
- Your use of the Service complies with all applicable laws and regulations, including securities laws and regulations in your jurisdiction.
If you use the Service on behalf of an entity, you represent that you are authorized to bind that entity to these Terms, and “you” refers to both you and that entity.
3. Nature of the Service
3.1 Tools and Automation Only
The Service provides tools to help you:
- Link one or more third-party brokerage accounts;
- View balances, holdings, and related information retrieved from those brokerages;
- Create and manage trading strategies and trade “batches”;
- Submit, monitor, and cancel trade orders via connected brokerages; and
- Optionally use paper trading (simulated money) or live trading (real money) modes.
You are solely responsible for evaluating any strategy, trade idea, or allocation; deciding whether and how to place any trade; and monitoring your accounts and holdings. The Service does not guarantee any performance, outcome, or profit.
3.2 Third-Party Brokerages
The Service connects to third-party brokerage platforms (“Brokerages”) via APIs, OAuth, or similar methods. When you link a Brokerage:
- Your trades are ultimately executed by the Brokerage, not by us.
- All accounts, assets, and money remain custodied at the Brokerage, not with us.
- Trades, fees, margin, interest, and other terms are governed by your separate agreement with each Brokerage.
We do not control whether a given trade is accepted, executed, partially filled, canceled, or rejected; prices at which trades are executed; margin availability or liquidation decisions; or account restrictions, suspensions, or closures imposed by the Brokerage.
If there is a conflict between these Terms and your Brokerage’s customer agreement, the Brokerage’s terms control for all matters relating to that Brokerage account.
4. Market Risk and No Guarantees
Trading stocks and other securities involves substantial risk of loss. You acknowledge and agree that:
- You can lose some or all of your investment.
- Past performance, hypothetical performance, backtests, or paper trading results do not guarantee future results.
- Market conditions can change rapidly; prices may move against you before or after an order is placed.
- Technical issues (e.g., connectivity, API failures, latency) may delay, block, or alter order submission or status updates.
We do not guarantee execution of any trade, at any given price or within any time frame; accuracy, completeness, or timeliness of prices, quotes, balances, or other data; or that any strategy, allocation, or logic will be profitable or suitable for you.
You should consult a qualified financial professional before making investment decisions.
5. Accounts, Security, and Credentials
5.1 Service Account
To use certain features, you must create a Service account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials, restricting access to your account and devices, and all activities that occur under your account.
5.2 Brokerages and API/OAuth Credentials
When you link a Brokerage account, you may provide us with API keys, OAuth tokens, or other access credentials (“Broker Credentials”). You authorize us to store and encrypt your Broker Credentials; use them to read account information; and submit, modify, or cancel orders to the Brokerage on your behalf, in accordance with your instructions within the Service.
You are responsible for ensuring your Broker Credentials are valid and up to date, and for revoking or updating them if you suspect compromise. We may mark an account as having an error and require you to reconnect or reauthorize if we cannot decrypt or use the stored credentials.
6. Use of the Service
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal (or internal business) investment activities. You agree not to:
- Use the Service in any way that violates securities, anti-money laundering, sanctions, tax, or other applicable laws or regulations;
- Interfere with or disrupt the security or proper functioning of the Service or related systems;
- Circumvent any rate limits, access controls, or security features;
- Reverse engineer, decompile, or disassemble the Service, except as permitted by law;
- Post or transmit any content that is illegal, infringing, defamatory, fraudulent, or otherwise harmful.
7. Paper Trading vs. Live Trading
The Service may provide both:
- Paper Trading (Simulated): virtual orders and balances that do not involve real money;
- Live Trading (Real Money): orders sent to your linked Brokerage that involve actual money and securities.
You are responsible for understanding which mode you are using, confirming the trading mode and account before placing trades, and acknowledging that switching from paper to live trading involves real financial risk.
8. User Content
“User Content” includes any strategies, notes, goals, preferences, comments, or other material you submit through the Service. You represent and warrant that you own or have the right to use and submit your User Content, and that it does not violate any law or the rights of others.
By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, store, reproduce, modify (for formatting and technical purposes), and display your User Content as reasonably necessary to operate, improve, and provide the Service.
9. Data, Market Information, and Accuracy
The Service may display or rely on market data, account data retrieved from Brokerages, and derived metrics such as performance summaries. Such data may be delayed, incomplete, or inaccurate.
Your official records are the statements and data provided directly by your Brokerages and financial institutions. You must not rely on the Service as the sole source for making decisions about actual trades, tax reporting, or regulatory compliance.
10. Fees and Payments

11. Intellectual Property
The Service, including all software, interfaces, text, graphics, logos, and other content (excluding your User Content and third-party marks), is owned by or licensed to us and protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on any part of the Service, except as expressly permitted by these Terms.
12. Third-Party Services and Links
The Service may link to or integrate with third-party sites and services, including Brokerages, analytics tools, data providers, and payment processors (“Third-Party Services”). We do not control or endorse Third-Party Services and are not responsible for their content, policies, practices, or any losses or damages arising from your use of them.
13. Privacy and Data Protection
Our Privacy Policy explains how we collect, use, store, and share your information, including personal data and account information retrieved from Brokerages. By using the Service, you consent to our data practices as described in the Privacy Policy.
14. Disclaimers
To the maximum extent permitted by law, the Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not provide investment, legal, tax, or accounting advice and have no fiduciary duty to you. We do not guarantee uninterrupted or error-free operation of the Service, or that defects will be corrected.
15. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or related to your use of or inability to use the Service.
Our total aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of: (a) the total amount you paid us for the Service in the [3 / 12] months preceding the event giving rise to the claim, or (b) [USD amount, e.g., $100].
16. Indemnification
